Business Law
Most small business legal problems are cheap to prevent and expensive to fix. The operating agreement nobody read, the contract signed because the deal was moving fast, the partner arrangement that was never written down — these surface years later, usually at the worst time.
I run a small business myself. I understand that legal spending competes with everything else you need that money for, and I will tell you when something is worth doing now and when it can wait.
AREAS OF REPRESENTATION
Business Formation
LLCs, corporations, and partnerships — including operating and shareholder agreements tailored to how the owners will run the business and resolve disagreements.
Contracts and Restrictive Covenants
Customer, vendor, and employment agreements, drafted or reviewed. Non-competes and non-solicits on either side — whether you are imposing one or facing one.
Business Disputes
Contract disputes, partner disputes, and collection matters. Negotiated where possible, litigated where necessary.
ONGOING REPRESENTATION
Some businesses need a lawyer twice a year. Others want someone on call who already knows the business and does not need to be brought up to speed every time something comes up. Both arrangements work; we can talk about which fits.
Either way, you will work with me directly. There is no associate your matter gets handed to, and when a question comes up on a Tuesday afternoon, you call the person who drafted the document.
